About Procure IT

"Procure IT" is the name of a documentation framework for the procurement of Information Technology products and services by government agencies.

Procure IT has been developed to encompass commercially fair conditions and pro-forma contracting tools written in a plain-English style, for the procurement of a broad range of IT products and services, from hardware, to development services, to personnel services, to systems integration services and managed services.

The Procure IT Framework contains standard terms and conditions, agreed between the Contract Authority and the Contractor, to apply to each Order placed by a Customer under the Agreement. The Standard Terms and Conditions provide a general legal framework for the construction of a specific contract.

Details of the contractual relationship are entered into the Schedules, particularly in the Agreement Details as between the Contract Authority and the Contractor, and the Order Form as between the Contractor and the Customer agency. The Agreement Details and the Order Form allow the parties to document their agreed position on certain provisions in the Terms and Conditions.

Summary of Procure IT Framework

The Agreement between the Contract Authority with the Contractor contains:

The Contract between the Customer and the Contractor contains:

  • The terms of the entire Agreement as set out above
  • Part 5 - the Order Details
  • Any Additional Conditions the parties have agreed to, subject to the Agreement

Note: If a user intends to use Procure IT for an arrangement that does not have a "Contract Authority" or a period arrangement, the documentation is flexible enough to be used by the Customer filling the positions of both the "Contract Authority" and the "Customer". However, please note the disclaimer below.

Part 1 - Standard Terms and Conditions

This part contains all the terms and conditions agreed to between the Contract Authority and the Contractor, to apply:

  • during the Term of the Agreement as between the Contract Authority and the Contractor, and
  • as between the Contractor and the Customer when a Customer places an Order.

Part 2 - Dictionary of Terms

Part 2 contains a Dictionary of defined terms that feature in the documentation, and an interpretation section.

Specific terms used in a module will be defined in the particular module.

Part 3 - Schedules

Schedule 1 contains the Agreement details between the Contract Authority and the Contractor, which form part of the agreement between these parties (and are then incorporated into any Order placed between the Contractor and the Customer under an Agreement.

Schedules 2 to 13 include schedules that can be incorporated by the Contract Authority or the Customer, depending on the arrangement, which further add to the contractual arrangement between the parties.

Part 4 - Modules

The Module terms and conditions establish terms to apply in addition to the Standard Terms and Conditions for particular types of IT procurement. The Contract Authority will "sign up" the Contractor to as few or as many of the modules as are applicable to that Contractor (or to the period contract if applicable)

The modules are colour coded for easy reference into the broad "groupings" of IT products and services that may be procured, as follows:

  • Module 1 – Hardware Acquisition and Installation
  • Module 2 – Hardware Maintenance Services
  • Module 3 – Licenced Software
  • Module 4 – Software Development Services
  • Module 5 – Software Support Services
  • Module 6 – IT Personnel
  • Module 7 – Professional Services
  • Module 8 - Data Management
  • Module 9  – Telecommunications
  • Module 9A - Boradband Local Access 
  • Module 10 – Web Services
  • Module 11 – Managed Services
  • Module 11A - Core Network Services 
  • Module 12 – Systems Integration Services
  • Module 13 - Major Project Systems Integration Services
  • Module 14 - Project Management Services
  • Module 15 - Change Management Transformation Services
  • Module 16 - Knowledge Transfer Services
  • Module 17 - Major Project Software Maintenance and Support Services
  • Module 18 - Whole of Government Requirements

Part 5 - Order Forms

A Customer places an order for IT products and/or services via an Order Form.

As part of the Procure IT framework, Pro-Forma Order Forms have been developed for each high-level type of IT procurement.

The Order Form contains three parts

Part A – General Order Coverage (containing general information about the Contract)

Part B – General Order Details (common to all Orders placed under the Procure IT Framework, and covering terms and conditions in Part 1)

Part C - Module Order Details (specific to each module under the Procure IT framework

Part 6 - Service Level Agreement (SLA)

Contains a template Service Level Agreement for use by customers and contractors.

Part 7 - User Guide

The User Guide aims to clarify the considerations that the buying entity should take into account when completing the Order Form and Schedules to the agreement, and in some cases to provide links or references to other sources of information which may be of help.

It does not attempt to summarise the Terms and Conditions or explain the legal meaning behind each of the provisions.
